OVERAGE BILLING POLICY FAQ

The below guidance is provided for informational purposes only.  Refer to your agreement with Infrascale for more specific information; if there’s any conflict between the below guidance and the terms of your agreement with Infrascale, the terms of the agreement govern.

Section I: Overage Billing FAQs

Q #1: What is an “overage”?

A: If you’re using Infrascale Cloud Backup (ICB) or Infrascale Backup and Disaster Recovery (IBDR), an “overage” occurs when the amount of storage you and your users are consuming in the Infrascale cloud is more than the storage allotment you purchased.  Note the foregoing definition does not apply to Infrascale Cloud Applicable Backup (ICAB).

* Note: if your agreement with Infrascale is dated prior to March 2, 2021, “overages” are defined as described in Section II of this document.

Q #2: What should I do if I need more storage?

A: Please contact your Infrascale sales representative or feel free to reach out to the Infrascale sales team at +1-877-896-3611 and a representative will be happy to help you purchase additional storage.

Q #3: How do I avoid overage charges?

A: To avoid overage charges for a particular month, you should remain below the overage limits described in the response to FAQ #1 above.  If your and/or your users’ storage usage has exceeded or is likely to exceed the storage allotment you purchased, you may either (i) purchase additional storage before the end of the calendar month as described in the response to FAQ #2 above, or (ii) reduce the amount of storage you and your users are consuming to eliminate the overage by the last calendar day of the month.  Infrascale provides tools that allow you to set your retention policy configuration settings for Infrascale Cloud Backup and Infrascale Disaster Recovery, enabling you to efficiently manage your usage of the services without disruption to the services themselves.

Q #4: What if I use more storage than the overage limits allow?

If you and your users consume more storage than the overage limits described in the response to FAQ #1 above allow, you must either eliminate the overage as described in the response to FAQ #3 above or pay applicable overage fees.  You will be billed applicable overage fees in arrears for each Service for which an “overage” is measured on the last calendar day of the prior calendar month as described further in FAQ #5.

Q #5: How will overages be measured and billed?

A: Usage for the billing period will be measured as the total amount of terabytes on the last calendar day of each calendar month on a per-Service basis, unless otherwise specified by Infrascale.  Overage amounts will be rounded up to the nearest 0.5TB increment and quoted in partial TB quantities (the “Overage Quantity”) for billing purposes.  Your monthly overage fee will be the product of (A) the Overage Quantity and (B) the prevailing overage rate established by Infrascale. Q #6: If I attempt to backup data that uses more than the storage allotment I purchased, will the Infrascale service stop functioning?

A: No, the Infrascale service will not stop functioning; however, you must eliminate your overage per the information provided in the response to FAQ #4 above or pay applicable overage fees.

Q #7: I have incurred overage fees before and now it appears I’ll have another overage, will additional overage fees be charged?

A: Yes, overage fees will be billed in arrears for each Service for which an “overage” is measured on the last calendar day of the prior calendar month as described further in FAQ #5.

Section II: Legacy Overage Billing & Fair Use Policies

The dates referenced below are approximate; refer to your agreement with Infrascale for more specific information.  Generally speaking:

If your agreement with Infrascale is dated between April 1, 2019 and March 2, 2021:

You may be subject to an Overage Billing & Fair Use Policy attached as an exhibit to Your Customer Agreement (the “Fair Use Policy”), in which event the terms of that Fair Use Policy govern. Under the Fair Use Policy, an “overage” occurs in the following circumstances:

Infrascale Cloud Backup (ICB): an “overage” occurs when the amount of storage you and your users are consuming using in the Infrascale cloud is more than the storage allotment you purchased.

Infrascale Disaster Recovery (IDR): an “overage” occurs when either: (A) the amount of storage you’re consuming on the primary appliance is more than the storage allotment you purchased, or (B) the amount of storage you and your users are consuming in the Infrascale cloud is more than three times (3x) the storage allotment you purchased.

If your agreement with Infrascale is dated prior to April 1, 2019 and you don’t have an Overage Billing & Fair Use Policy as an exhibit to your Customer Agreement:

Although you may be subject to automatic purchases or upgrades of storage quantities to eliminate your overage, Infrascale will apply the current overage policy, which is more favorable to you. The current overage policy is described in FAQs #1-5 above.
